We would rather do the work ourselves and license you, BUT we are also available to perform contract research, if needed.
We recognize that our know-how and technology will likely require tailoring to the specific materials and processes used by our licensees; and to serve the need of our licensees, we are prepared to commit the time of our technical staff to tailoring our technology to the processes and products of our licensees; that is, we are prepared to license technology as well as patents.
In cases where such technology-tailoring developments themselves lead to patentable advances—which is expected to be a frequent occurrence—such patents will be assigned to Animal Majesty in cases where Animal Majesty pays for such developments, and will be assigned jointly to Animal Majesty and the licensee company in cases where the licensee company pays for such developments. In the latter case, the licensee will have the exclusive right to use the patented developments in the areas of their business, with Animal Majesty retaining rights in other areas.
Animal Majesty will enter into a mutual-confidentiality agreement with the licensee company to protect the confidential information of our licensee. In cases where our licensee elects to pay for the services of our technical staff and obtain exclusive rights to the resulting developments, our licensee will be billed ONLY for the direct costs of the technical work.
